Rajesh Exports, a leading player in India’s gold and jewellery market, is under intense scrutiny as the Securities and Exchange Board of India (SEBI) investigates alarming financial discrepancies amounting to Rs 15.15 lakh crore in its reported revenues. Investors are anxious as this development draws into question the company's governance and its commitment to financial transparency.
The controversy erupted in March 2024, following a shareholder complaint to SEBI regarding the company's outstanding trade receivables, which reportedly had not been settled for over two years. Such delayed payments often raise red flags regarding a company’s fiscal integrity and accounting methods. In response, SEBI initiated a comprehensive investigation and engaged forensic auditor BDO to evaluate the firm’s financial records.
An interim ruling from SEBI on June 3 prohibited Rajesh Exports and its chairman, Rajesh Mehta, from engaging in securities transactions during the ongoing investigation. The regulatory body claimed that from FY21 to FY25, the firm’s reported consolidated revenues could not be completely validated via data from its foreign subsidiaries.
A significant part of this inquiry revolves around Valcambi SA, a gold refinery in Switzerland that is integral to Rajesh Exports’ global operations. Investigators found that reported income significantly exceeded the verifiable amounts from subsidiary financial statements, with SEBI estimating the revenue gap at a staggering Rs 15.15 lakh crore over five years—marking one of the largest financial discrepancies explored in India’s corporate settings.
SEBI also noted challenges faced by investigators, as they reported that essential documentation was either incomplete or missing during the investigation. Customer records, vendor information, and financial statements for vital subsidiaries were not adequately provided, forcing reviewers to operate with limited insight into the company’s declared financial health.
Further complicating matters is an alleged Rs 1,035 crore investment in African gold mining assets, for which SEBI claimed that Rajesh Exports failed to supply sufficient records or valuation assessments. This lack of documentation has prompted concerns regarding potential inflation of the company’s asset values.
Additionally, the investigation uncovered troubling transactions involving Affluence Shares and Stocks Pvt. Ltd., where Rajesh Exports allegedly recorded dealings worth over Rs 11,000 crore, only for Affluence to subsequently deny any relationship with the company. This contradiction raised a significant alarm for investigators.
The regulator also pointed out that funds from the company were funneled into accounts linked to Rajesh Mehta for personal derivative trading, with many of these transactions purportedly lacking board approval and not classified as related-party transactions. As of now, these claims remain under examination and a definitive conclusion has yet to be reached.
Rajesh Exports has categorically denied all accusations. The company characterized SEBI’s ruling as an interim measure rather than a conclusive judgment and affirmed that its income figures are truthful. It also indicated its willingness to cooperate fully with the SEBI to clarify any misunderstandings during the process.
The situation has garnered significant media attention due to major institutional investors, including the Life Insurance Corporation of India (LIC), holding considerable stakes in Rajesh Exports. SEBI has projected that the alleged wrongdoing could contribute to a shareholder wealth loss approximated at Rs 12,726 crore. Concurrently, the company faces additional financial challenges after Canara Bank classified its loans as stressed assets following defaults.
In the wake of these revelations, the market reacted dramatically, with Rajesh Exports share prices plummeting to lower circuit limits post-SEBI’s announcement. Over the last three years, the stock has seen a decline in excess of 80%, signaling growing trepidation regarding the company’s financial stability.
While the allegations are serious, the SEBI investigation is still underway, and no final verdict has been rendered. Rajesh Exports and Rajesh Mehta will soon have the opportunity to defend themselves prior to any conclusive regulatory movements. The results of this inquiry could profoundly influence corporate governance norms and shake investor confidence within India’s broader financial landscape.
